1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (the "User," "you," or "your") and Ask Alfred ("we," "us," or "our") governing your use of the Ask Alfred platform, including all websites, mobile applications, APIs, and related services (collectively, the "Service").
By creating an account, accessing the Service, or using any part of our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
2. Description of Service
Ask Alfred is an AI-powered workplace platform that provides:
- AI Chat Assistant: Conversational AI for answering questions and performing tasks
- Document Intelligence: Upload, analyze, and search documents using AI
- Business Tools: Generate emails, PDFs, presentations, and reports
- CRM Integration: Optional integration with HubSpot for customer data search
- Knowledge Base: Build and maintain organizational knowledge from conversations
- Collaboration Features: Team workspaces with role-based permissions
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to users.
3. Account Registration
3.1 Eligibility
You must be at least 13 years old to use Ask Alfred. By registering, you represent and warrant that:
- You are at least 13 years of age
- You have the legal capacity to enter into binding contracts
- You are not prohibited from using the Service under applicable laws
- All information you provide is accurate, current, and complete
3.2 Account Information
- You must provide a valid email address and create a secure password
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately of any unauthorized access to your account
- One account per person; sharing accounts is prohibited
- You may not impersonate another person or entity
3.3 Account Security
- Use a strong, unique password for your Ask Alfred account
- Do not share your password with anyone
- Log out from shared or public devices
- You are responsible for all activities that occur under your account
4. Acceptable Use Policy
4.1 Permitted Uses
You may use Ask Alfred for lawful business and personal purposes, including:
- Conducting research and analysis
- Managing documents and knowledge
- Generating business communications and reports
- Collaborating with team members
- Integrating with approved third-party services
4.2 Prohibited Activities
You agree NOT to use Ask Alfred for any of the following purposes:
Illegal Activities:
- Any activity that violates local, state, national, or international law
- Infringing on intellectual property rights of others
- Distributing malware, viruses, or other harmful code
- Engaging in fraud, scams, or deceptive practices
Abuse & Harassment:
- Harassing, threatening, or intimidating others
- Uploading content that is hateful, discriminatory, or promotes violence
- Stalking or violating the privacy of others
- Sharing explicit or inappropriate content
Platform Abuse:
- Attempting to gain unauthorized access to our systems or other users' accounts
- Reverse engineering, decompiling, or disassembling any part of the Service
- Using automated tools (bots, scrapers) without written permission
- Overloading or interfering with our infrastructure
- Bypassing rate limits or security measures
Spam & Abuse:
- Sending unsolicited bulk messages or spam
- Creating fake accounts or misleading identities
- Manipulating the Service for commercial gain without authorization
Misuse of AI:
- Attempting to manipulate AI responses for harmful purposes
- Using the Service to generate content that violates these Terms
- Reverse engineering AI models or attempting to extract training data
4.3 Enforcement
Violation of this Acceptable Use Policy may result in:
- Warning and request to cease the prohibited activity
- Temporary suspension of your account
- Permanent termination of your account without refund
- Legal action if required by law
5. User Content & Data Ownership
5.1 Your Content Ownership
You retain full ownership of all content you upload, create, or share on Ask Alfred, including:
- Documents, files, and images you upload
- Messages and conversations with the AI
- Knowledge base entries derived from your interactions
- Profile information and metadata
5.2 License Grant to Us
To provide the Service, you grant Ask Alfred a limited, worldwide, non-exclusive, royalty-free license to:
- Store, process, and transmit your content through our systems
- Use your content to generate AI responses and search results for you
- Create embeddings and indexes for semantic search functionality
- Display your content back to you and authorized users in your organization
- Backup and replicate your content for disaster recovery
Important: This license exists solely to operate the Service. We do NOT use your content to train AI models, share it with other users, or use it for any purpose beyond providing you with the Service.
5.3 AI-Generated Content
Content generated by our AI assistant based on your prompts is considered:
- Your property to the extent permissible by law
- Subject to the same ownership rights as content you create directly
- Not guaranteed to be accurate, complete, or suitable for any particular purpose
You are responsible for reviewing and verifying all AI-generated content before using it for critical decisions or external distribution.
5.4 Content Responsibility
You are solely responsible for:
- Ensuring you have the right to upload and share all content
- Complying with all applicable laws regarding your content
- Maintaining backups of important content (we provide the Service "as-is")
- The accuracy, legality, and appropriateness of your content
6. Intellectual Property Rights
6.1 Ask Alfred Platform
All rights, title, and interest in the Ask Alfred platform, including but not limited to:
- Software code, algorithms, and architecture
- User interface designs and layouts
- Trademarks, logos, and branding
- Documentation and training materials
are owned by Ask Alfred and protected by copyright, trademark, and other intellectual property laws.
6.2 Restrictions
You may NOT:
- Copy, modify, or create derivative works of the platform
- Rent, lease, sell, or sublicense access to the Service
- Remove or alter any copyright, trademark, or proprietary notices
- Use our trademarks without written permission
6.3 Feedback & Suggestions
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide license to use and incorporate such feedback without compensation or attribution.
7. Subscription & Payment
7.1 Free and Paid Plans
Ask Alfred offers both free and paid subscription tiers. Specific plan features, pricing, and limitations are described on our website and in your account dashboard.
7.2 Billing Terms
- Subscription Fees: Paid plans are billed in advance on a monthly or annual basis
- Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date
- Payment Methods: We accept major credit cards and other payment methods as indicated
- Failed Payments: If payment fails, we may suspend your account until payment is received
7.3 Refund Policy
- Monthly subscriptions: No refunds for partial months
- Annual subscriptions: Refunds available within 30 days of initial purchase or renewal
- Refunds are processed to the original payment method within 10 business days
- Refunds are not available for accounts terminated for Terms violations
7.4 Price Changes
- We reserve the right to change subscription prices with 30 days' notice
- Price changes affect new subscriptions immediately and renewals after notice period
- You may cancel before a price increase takes effect to avoid the new rate
7.5 Taxes
All fees are exclusive of applicable taxes (sales tax, VAT, GST). You are responsible for paying all taxes associated with your subscription.
8. Service Availability
8.1 "As-Is" Service
The Service is provided on an "as-is" and "as-available" basis. While we strive for 99.9% uptime, we do not guarantee:
- Uninterrupted or error-free operation
- Specific performance levels or response times
- Accuracy of AI-generated content
- Compatibility with all devices or browsers
8.2 Maintenance & Updates
- Scheduled Maintenance: We may perform planned maintenance with advance notice when possible
- Emergency Maintenance: Unplanned downtime may occur for critical updates or security patches
- Feature Updates: We may add, modify, or remove features with reasonable notice
8.3 Service Modifications
We reserve the right to:
- Modify the Service features, functionality, or user interface
- Discontinue features or the entire Service with 90 days' notice
- Impose usage limits (storage, API calls, file sizes)
9. Third-Party Services
9.1 Third-Party Integrations
Ask Alfred integrates with third-party services including:
- Google Gemini AI (chat and document processing)
- OpenAI (text embeddings)
- Weaviate (vector database)
- HubSpot (optional CRM integration)
- Resend (email delivery)
9.2 Third-Party Terms
Use of integrated third-party services is subject to their respective terms of service and privacy policies. We are not responsible for:
- Third-party service outages or performance issues
- Changes to third-party APIs or pricing
- Third-party data handling practices (see our Privacy Policy)
- Disputes between you and third-party providers
9.3 Integration Changes
We may add, remove, or modify third-party integrations at any time. If a critical integration is discontinued, we will provide reasonable notice and migration options when possible.
10. Data Retention & Deletion
10.1 Active Accounts
- Your data is retained while your account is active
- You can delete individual conversations, files, or knowledge base entries at any time
- Deleted items may be retained in backups for up to 30 days
10.2 Account Deletion
When you delete your account:
- Grace Period: 30-day recovery window before permanent deletion
- Data Deletion: After 30 days, all personal data is permanently deleted, including:
- Profile information
- Chat conversations and messages
- Uploaded files and documents
- AI memory and knowledge base entries
- Vector embeddings and search indexes
- Retained Data: We may retain:
- Anonymized usage statistics
- Financial records (tax/accounting requirements)
- Legal compliance data (fraud prevention, law enforcement requests)
10.3 Organizational Accounts
For team/organizational accounts, the organization administrator controls data retention policies. Contact your administrator for data deletion requests.
11. Account Termination
11.1 Termination by You
You may terminate your account at any time by:
- Canceling your subscription in account settings
- Contacting support@askalfred.ai
- Upon cancellation, you retain access until the end of your billing period
11.2 Termination by Us
We may suspend or terminate your account if:
- You violate these Terms or our Acceptable Use Policy
- Your payment method fails and you do not update it
- We suspect fraudulent or abusive activity
- Required by law or legal process
- You engage in conduct harmful to other users or our systems
We will provide reasonable notice before termination except in cases of serious violations or legal requirements.
11.3 Effect of Termination
- Your right to access and use the Service immediately ceases
- No refunds for prepaid subscription fees (except as stated in Section 7.3)
- Data deletion as described in Section 10.2
- Provisions that should survive termination (IP rights, disclaimers, liability limitations) remain in effect
12. Disclaimers & Warranties
12.1 No Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASK ALFRED IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Merchantability or fitness for a particular purpose
- Non-infringement of third-party rights
- Accuracy, reliability, or completeness of AI-generated content
- Uninterrupted, secure, or error-free operation
- Freedom from viruses or harmful components
12.2 AI-Generated Content Disclaimer
Important: AI-generated content is provided for informational purposes only and should not be relied upon as:
- Professional advice (legal, medical, financial, etc.)
- Factually accurate or up-to-date information
- Substitute for human judgment or expertise
You are solely responsible for verifying AI-generated content before using it for important decisions or external communication.
12.3 Data Loss
While we implement robust backup systems, we do not warrant against data loss. You are responsible for maintaining independent backups of critical data.
13. Limitation of Liability
13.1 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASK ALFRED'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- The total subscription fees you paid in the 12 months preceding the claim, OR
- $100 USD
13.2 Exclusion of Damages
IN NO EVENT SHALL ASK ALFRED BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Cost of substitute services
- Damages resulting from:
- Use or inability to use the Service
- AI-generated content inaccuracies
- Unauthorized access to your account or data
- Third-party service failures
- Service interruptions or errors
This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability) and even if we were advised of the possibility of such damages.
13.3 Exceptions
Some jurisdictions do not allow limitation of liability for personal injury or certain statutory rights. In such cases, Ask Alfred's liability is limited to the maximum extent permitted by applicable law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Ask Alfred, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any third-party rights (including intellectual property rights)
- Content you upload or generate using the Service
- Your negligence or willful misconduct
We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense.
15. Dispute Resolution
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
15.2 Informal Resolution
Before filing a legal claim, you agree to attempt to resolve disputes informally by contacting support@askalfred.ai. We will attempt to resolve disputes within 30 days.
15.3 Jurisdiction
Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the United States, and you consent to personal jurisdiction in those courts.
15.4 Class Action Waiver
You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative actions against Ask Alfred.
15.5 Time Limit for Claims
Any claim related to the Service must be filed within one (1) year after the cause of action arises, or such claim is permanently barred.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements you enter into with Ask Alfred, constitute the entire agreement between you and Ask Alfred regarding the Service.
16.2 Changes to Terms
We may modify these Terms at any time by:
- Posting updated Terms with a new "Last Updated" date
- Notifying you via email or in-app notification for material changes
- Requiring acceptance for significant changes
Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
16.3 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.
16.4 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative.
16.5 Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
16.6 Force Majeure
We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet/telecommunications failures.
16.7 Notices
All notices to you will be sent to the email address associated with your account. Notices to Ask Alfred should be sent to:
16.8 Survival
Provisions that by their nature should survive termination (including intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution) shall survive termination of these Terms.
16.9 Export Compliance
You agree to comply with all applicable export and import laws when using the Service. You may not use the Service in violation of U.S. export laws or regulations.
16.10 Government Users
If you are a U.S. government entity, the Service is a "commercial item" as defined in FAR 2.101, and use is subject to these Terms.
